Article of Association

The articles of association were registered at the Corporate Affairs Commission, Federal Republic of Nigeria with registration number; CAC/IT/NO 93199, on December 9th, 2016

Name, registered office and financial year

1. The association bears the name “RedAid Nigeria” or “RAN” for short.
2. The association is affiliated with German Leprosy and TB Relief Association (DAHW).
3. The association is based in Enugu, Nigeria.
4. The financial year is the calendar year.

Tasks and purpose of the association

1.   The association RedAid Nigeria, based in Enugu, exclusively and directly pursues charitable purposes.

2.   The purpose of the association is to promote public health care and support needy people physically, mentally, emotionally and economically through:

1. medical and social rehabilitation,
2. support for research and training,
3. health education,
4. development education and
5. humanitarian aid.

3.   Funds of the Association
The funds required for the purpose and tasks of the association are raised, among other things, by:

1. donations,
2. inheritances and estates,
3. income from the investment of financial assets,
4. honorary employees,
5. groups of friends and sponsors,
6. collections of all kinds,
7. publications in the press, on radio and television,
8. publications of all kinds,
9. circulars and other advertising material and
10. cooperation with governments and authorities, as well as with charitable and other organizations and institutions.

4   Membership

1. Natural and legal persons can become members. They are obliged to support the tasks and goals of the association.
2. Admission to the association is made by the board of directors on the basis of a written application. There is no entitlement to admission.
3. Membership fees are not charged.
4. Membership ends through death, in the case of legal entities, through termination, resignation or exclusion.
5. The resignation must be declared in writing to the Executive Board.
6. A member can be expelled from the association if it has grossly violated the interests of the association. The Executive Board decides on an exclusion. The person to be excluded must be given the opportunity to comment before the decision is made.
7. The person concerned can appeal against the refusal of admission and against the exclusion from the association within one month after receipt of the decision. The next general meeting decides on the complaint. The appeal against the exclusion has a suspensive effect.
8. In the event of termination of membership, there is no entitlement to a division of the association's assets. The member resigns without compensation.
9. Persons who are employees of the association and/or its subdivisions and (subsidiary) companies, who are commissioned with the auditing for them, who have a permanent paid business relationship with them or who otherwise have conflicts of interest with the tasks and goals of the association and its personnel management cannot be members of the association.

Membership can be suspended, ie voting rights cannot be exercised.

5   Organs of the Association
Organs of the association are:

1. the general Assembly,
2. the Executive Board of trustees

6.   Annual Accounts, Reports

1. After the end of each financial year, the Executive board must prepare the annual financial statements and the management report immediately, this should be done within four months of the end of the financial year. The principles of proper bookkeeping must be followed.
2. In addition to the balance sheet and the profit and loss account, the annual accounts must contain an explanatory appendix. In the management report, at least the course of business and the situation of the association must be presented in such a way that a picture of the actual circumstances is conveyed. Events of particular importance that occurred after the end of the financial year and the expected development of the association must also be addressed.
3. The annual financial statements and the management report of the association must be checked by the auditor and submitted to the Executive board together with the auditor's report immediately after they have been prepared.
4. The chairman of the supervisory board must make the report of the supervisory board, the annual financial statements and the management report available to the members, regularly by transmission in connection with the invitation to the general meeting.
5. The scope and content of the Management Board's ongoing reporting to the Supervisory Board is regulated by the Management Board's rules of procedure.
